We may restrict or suspend access to the Website when reasonably necessary to protect our operations, users, or legal rights, subject to applicable law.

3. Intellectual Property and Ownership

Unless otherwise stated, the Website and its contents are owned by or licensed to Holistic Inclusion Consulting LLC.

Our intellectual property includes, but is not limited to:

These materials are protected by applicable intellectual property laws.

Except where we expressly authorize otherwise, you may access and use our publicly available content for personal, educational, or internal business reference. You may not reproduce, republish, distribute, sell, sublicense, create derivative works from, or commercially exploit our proprietary materials without prior written permission from HIC.

Nothing in these Terms transfers ownership of HIC's intellectual property to you.

Limited Permission to Use Materials

Where HIC provides downloadable materials, templates, or resources with an express license, you may use those materials within the scope of that license.

Permission to access a resource does not automatically authorize you to distribute it to others, incorporate it into a commercial product, or use it to provide competing services.

4. AI Programs, Cohorts, and Build Labs

HIC offers programs designed to help professionals understand, develop, evaluate, and responsibly implement AI-enabled solutions.

Depending on the program, participants may receive instruction, assignments, frameworks, templates, examples, feedback, peer collaboration, and opportunities to develop AI agents or other AI-enabled workflows.

By participating in an HIC program, you agree to the following.

A. Responsible Use of AI

You are responsible for how you use AI tools, agents, automations, and other systems you develop or implement.

You agree to evaluate the suitability of your solutions for their intended use, including their accuracy, reliability, security, privacy implications, and potential business risks.

Where appropriate, you should implement human review, testing, monitoring, access controls, escalation procedures, and other safeguards.

B. No Guarantee of Results

HIC provides professional education, advisory services, and implementation guidance. We do not guarantee that an AI solution, agent, automation, workflow, or business initiative will achieve a particular result.

Outcomes depend on many factors, including the tools selected, data quality, implementation decisions, organizational readiness, third-party systems, and ongoing oversight.

C. Your Organization's Requirements

You are responsible for ensuring that your participation and use of any resulting solution comply with your employer's or client's policies, contractual obligations, security requirements, and applicable laws.

Do not submit confidential business information, personal data, credentials, regulated information, or other restricted materials unless you have the necessary authorization and the applicable systems and arrangements are appropriate for that information.

D. Third-Party AI Platforms

HIC programs may involve third-party AI platforms, software, applications, and integrations.

Those services are subject to their own terms, licenses, and privacy policies.

HIC does not own or control independent third-party platforms and cannot guarantee their continued availability, security, performance, or functionality.

You are responsible for reviewing applicable third-party terms and ensuring that your use of those services is appropriate.

E. Ownership of Participant Work

Unless a separate written agreement provides otherwise, you retain ownership of original materials you create independently and submit to HIC, subject to any third-party rights and the terms of the tools or platforms you use.

HIC retains ownership of its pre-existing and independently developed intellectual property, including its frameworks, methodologies, templates, instructional materials, and proprietary resources.

If your work incorporates HIC materials, your ability to use or distribute those materials remains subject to the applicable permissions and license terms.

These Terms do not grant HIC unrestricted ownership of your independently created work or authorize HIC to publish your confidential work without appropriate permission.

5. Consulting and Advisory Services

Information on our Website describes HIC's services and may include examples of our methodologies, offerings, and work.

The precise scope, deliverables, schedule, fees, responsibilities, and other conditions of a consulting or advisory engagement will be established in the applicable proposal, statement of work, or written service agreement.

Website descriptions do not, by themselves, create a commitment to provide a specific deliverable or outcome.

HIC will provide services in accordance with the applicable agreement. Any changes to an engagement, including changes in scope, timing, or fees, will be handled as specified in that agreement or otherwise agreed upon in writing.

6. Registration, Accounts, and Memberships

Certain HIC services may require registration or an account, including cohorts, membership communities, events, and online programs.

When registering, you agree to provide accurate information and keep your account information reasonably current.

You are responsible for protecting your login credentials and for activities conducted through your account, subject to applicable law.

You must promptly notify HIC if you become aware of unauthorized access to your account.

You may not share account access, transfer a membership, or allow unauthorized individuals to access paid content unless HIC expressly permits it.

HIC may suspend or terminate access when reasonably necessary to address violations of these Terms, unauthorized access, nonpayment, security concerns, or other legitimate operational needs, subject to applicable agreements and law.

Additional membership terms may govern recurring subscriptions, access periods, community conduct, cancellation, and renewal.

7. Fees, Payments, Cancellations, and Refunds

Fees, payment schedules, billing terms, cancellation rights, and refund policies may vary by HIC service.

Before purchasing a service or enrolling in a program, review the applicable offer, checkout page, enrollment terms, membership terms, or written agreement.

Where applicable, those terms may address:

You authorize the applicable payment provider to process transactions according to the payment terms you accept.

Unless expressly stated in the applicable offer or agreement, these Website Terms do not establish a universal refund policy or guarantee a refund for a purchased service.

Nothing in this section limits any cancellation, refund, or other right that cannot legally be waived or restricted.

8. Educational Information and Professional Disclaimer

The content provided on our Website and through our educational programs is intended for general informational, professional development, and business purposes.

Although HIC seeks to provide useful and accurate information, we do not warrant that every article, resource, example, recommendation, or educational material is complete, current, or suitable for every situation.

9. No Guarantee of Business Outcomes

HIC may discuss business performance, leadership effectiveness, productivity, AI implementation, operational improvements, or other potential benefits associated with our services.

Examples, testimonials, case studies, and participant experiences reflect particular circumstances and do not guarantee that you will achieve the same results.

Actual outcomes may vary depending on your experience, implementation, resources, organization, market conditions, and other factors.

12. Confidentiality and Information You Submit

You may communicate with HIC or submit information through our Website, registration forms, programs, or other channels.

Please do not submit confidential or sensitive information through a general Website form unless the submission is appropriate for that channel and you are authorized to provide it.

The handling of personal information is described in our Privacy Policy.

Any confidentiality obligations relating to consulting engagements, client information, participant materials, or other protected information will be governed by applicable written agreements and law.
